Who Must File DIR-3 KYC
Every individual who holds a Director Identification Number (DIN) as on 31 March of a financial year must file KYC with the Ministry of Corporate Affairs (MCA) on the three-year cycle set by rule 12A(1) (Form DIR-3-KYC-Web, due by 30 June of the financial year following every third consecutive financial year), regardless of whether that person currently serves on the board of a company. This applies equally to a director sitting on a board in Chennai, Bangalore, or anywhere else in India, because DIN and DIR-3 KYC are governed centrally under the Companies Act and MCA rules, not by any state or city authority. Chennai has no separate director-compliance regime; the process, the portal, and the consequences of missing it are identical for a director in T. Nagar and a director in Mumbai.
The obligation is personal to the director, not to the company. A person can be a director of multiple companies but files one KYC covering their DIN, not one per company.
One Form Instead of Two
The earlier e-form DIR-3 KYC and the web service DIR-3-KYC-WEB have been replaced by a single form, Form DIR-3-KYC-Web, titled 'Intimation of Changes or Reactivation of DIN'. Its listed purposes are reactivation of DIN, KYC compliance, update of mobile number, update of email ID, and update of permanent or present residential address. The question is therefore no longer which of two routes applies, but what the single form is being filed for.
What Happens If You Don't File
A missed filing can lead to deactivation of the DIN; confirm the current position with PNPC or the MCA. A DIN shown as deactivated generally cannot be used to sign MCA e-forms, that individual cannot be validly appointed as a director using that DIN until it is reactivated, and the company's own filings can be affected if a deactivated DIN is listed against a director on record.
PNPC does not quote a fee here; any fee is confirmed at the time of filing. According to the MCA, directors who have completed their KYC to date next file by 30 June 2028; the first due date for a more recently allotted DIN, and other cases, should be confirmed with PNPC or the MCA.
How DIN Reactivation Works
Reactivating a deactivated DIN follows a defined sequence:
- File Form DIR-3-KYC-Web with reactivation of DIN as the purpose.
- Pay any applicable fee shown on the MCA portal at the time of submission; confirm the current position at the time of filing.
- Wait for MCA system processing. Once the form is accepted, MCA updates the DIN status back to "Approved" or "Active" in its records; processing time depends on the MCA system, so PNPC does not commit to a fixed number of days.
- Verify the updated status on the MCA DIN/Director search before relying on the director being reflected as active in any fresh company filing.
The Genuinely Local Part: Which PNPC Office Handles This
The DIR-3 KYC process itself is identical nationwide, filed on the same MCA portal under the same rules whether the director is based in Chennai, Hyderabad, or Dubai. What differs locally is simply who you deal with. Chennai-based directors and companies typically work with PNPC's Chennai office, which handles document collection, OTP coordination, and filing for directors across Tamil Nadu, alongside the firm's broader corporate compliance practice. Because Chennai has a dense base of manufacturing, IT services, and trading companies with multiple directors on their boards, tracking KYC status across an entire board, rather than a single director, is often the practical challenge local businesses bring to PNPC.
What PNPC Does
PNPC's Chennai team supports director KYC and DIN reactivation through a defined set of steps:
- Reviewing each director's current DIN status on the MCA portal to identify who needs to file and what Form DIR-3-KYC-Web needs to be filed for.
- Collecting and verifying the supporting documents required for the form, including proof of identity and address.
- Coordinating OTP verification with the director's registered mobile number and email at the time of filing.
- Preparing and submitting Form DIR-3-KYC-Web for each director within the company.
- Tracking DIN status after submission and following up on reactivation where a DIN has already been deactivated.
- Flagging board-level compliance gaps to the company so a lapse in one director's KYC does not go unnoticed in future filings.
The Tamil Nadu layer on top of the central filing
The filing obligation, the forms and the due dates here are set centrally by the MCA and do not vary by state. What is local is where the filing lands and what sits beside it. Filings for a Chennai-registered company go to the jurisdictional Registrar of Companies at Chennai, and any change of registered office within or outside Tamil Nadu carries its own address-proof and jurisdictional consequences. Running alongside the MCA calendar - and frequently missed, because it is not on it - are the Tamil Nadu obligations: registration under the Tamil Nadu Shops and Establishments Act, and professional tax, where Tamil Nadu runs professional tax on a half-yearly cycle rather than a monthly one - the two periods are April to September and October to March, with employers remitting tax deducted from salaries before 15 September and 15 February, and other persons paying before 30 September and 31 March, under the Tamil Nadu urban local bodies' published guidance (confirm the current dates with the Greater Chennai Corporation or your local body). For the municipal layer, within the city the trade licence and related municipal permissions sit with the Greater Chennai Corporation, with separate town panchayat or municipality routes for units on the outskirts, which catches out businesses on the industrial fringes of the metro.
