DIR-3 KYC Filing & DIN Reactivation India: Who Needs It and Who Does Not
Whether DIR-3 KYC Filing & DIN Reactivation India applies to a given business is the first thing worth settling, and it is where most of the early questions land. The questions below are the ones raised most often in practice; the full scope of the service is on the DIR-3 KYC Filing & DIN Reactivation India page.
What exactly is DIR-3 KYC and who has to file it?
DIR-3 KYC is the identity and contact-detail verification that every holder of a Director Identification Number (DIN) must complete with the Ministry of Corporate Affairs, under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014. Under rule 12A(1), as amended by notification G.S.R. 943(E) dated 31 December 2025, every individual who holds a DIN as on 31 March of a financial year files a KYC intimation in Form DIR-3-KYC-Web on or before 30 June of the financial year immediately following every third consecutive financial year. It applies whether or not the person is currently an active director of any company — the obligation is tied to the DIN itself, not to a specific directorship.
In practice: We frequently meet people surprised that they still have a KYC obligation for a DIN allotted years ago at a company they are no longer associated with. The DIN does not become irrelevant just because the directorship ended — the obligation is tied to holding the DIN.
What happened to the old DIR-3 KYC e-form and the DIR-3-KYC-WEB service, now that there is one Form DIR-3-KYC-Web?
They no longer exist as two separate things. The earlier e-form DIR-3 KYC and the web service DIR-3-KYC-WEB have been replaced by one form, Form No. DIR-3-KYC-Web, titled 'Intimation of Changes or Reactivation of DIN'. Its listed purposes are reactivation of DIN, KYC compliance, update of mobile number, update of email ID, update of permanent residential address and update of present residential address. So the question is no longer which of two forms you qualify for, but what the single form is being filed for.
Do NRI and foreign national directors need to file director KYC (Form DIR-3-KYC-Web) too?
Yes. Rule 12A applies to every individual who holds a DIN, which includes NRI and foreign national directors holding an Indian DIN. The form asks for passport number where applicable. The one-time passwords go to the mobile number and email ID given on the form; if you are abroad, confirm whether an international number can be used before the filing.
In practice: For our UAE-based clients and other NRI directors, we confirm the OTP delivery to the number on the form well ahead of the filing. Discovering an OTP delivery issue on the day, with a foreign director in a different time zone, is avoidable with earlier testing.
Do I need a Digital Signature Certificate (DSC) to file director KYC (Form DIR-3-KYC-Web)?
The DIN holder digitally signs the declaration on the form, so you need a valid digital signature. The form also carries a certificate by a practising professional — a chartered accountant, cost accountant or company secretary in whole-time practice — which is likewise digitally signed. Check that your DSC is valid before the filing date.
In practice: A director whose DSC has expired needs to renew it before we can complete the filing — we check DSC validity as one of the first steps in the process, not on the day of filing.
What happens to my DIN if I resign as director from all companies?
The DIN itself does not automatically lapse or get cancelled when you resign from your last directorship. It remains on MCA's records, and an individual who holds a DIN as on 31 March of a financial year is within rule 12A(1)'s KYC intimation cycle. Many people leave a DIN dormant, which means the KYC obligation continues.
Are there any exemptions from filing DIR-3 KYC?
Rule 12A(1) applies to every individual who holds a DIN as on 31 March of a financial year, and the amendment does not set out exemptions. Whether a DIN that has been surrendered, cancelled or deactivated still carries the obligation depends on its status on MCA master data, which PNPC checks before advising. DIR-5 surrender is available only in limited circumstances; PNPC confirms eligibility before advising it.
In practice: We do not advise clients to assume an exemption applies without checking the DIN's actual current status on MCA's master data first — assumptions here are exactly what leads to a missed filing.
