FCRA Registration & Compliance India: Who Needs It and Who Does Not

Whether FCRA Registration & Compliance India applies to a given business is the first thing worth settling, and it is where most of the early questions land. The questions below are the ones raised most often in practice; the full scope of the service is on the FCRA Registration & Compliance India page.

What is the difference between FCRA regular registration and Prior Permission?

Regular registration (Form FC-3A) is an ongoing authorisation valid for 5 years, allowing the organisation to receive foreign contribution from any foreign source, any number of times, subject to annual compliance. Prior Permission (Form FC-3B) is a one-time, narrower approval tied to a specific foreign donor and a specific amount for a defined activity — it does not carry forward to future grants and does not require the 3-year track record. Prior Permission is typically the route for newer organisations or for a single defined grant; regular registration suits organisations with an established, ongoing international funding relationship.

In practice: An organisation can apply for Prior Permission for a specific first grant while its 3-year regular-registration eligibility clock is still running, which can be more practical than waiting three years with no foreign funding at all.

Is Aadhaar mandatory for FCRA registration?

Yes, for Indian-national office bearers, directors, trustees, and key functionaries named in an FCRA application. The FCRA (Amendment) Act 2020 made Aadhaar mandatory for this purpose. Foreign nationals and Overseas Citizens of India serving as office bearers or key functionaries must instead furnish a copy of their passport or OCI card. Note, however, that amendments to the FCRA Rules notified on 22 June 2026 make an association with foreign-national key functionaries ordinarily ineligible for registration or prior permission without Central Government approval, subject to limited exceptions for certain OCI cardholders and persons of Indian origin - confirm the current position before applying.

In practice: Applications can be delayed where an office bearer's Aadhaar details do not exactly match their PAN records — the same name-matching discipline that trips up MCA filings applies here too.

What is Form FC-4 and when must it be filed?

Form FC-4 is the mandatory annual return that every FCRA-registered organisation must file on the FCRA Online portal, disclosing all foreign contribution received and utilised during the financial year (April–March). It must be filed by 31 December following the end of that financial year and must be accompanied by the FCRA-specific audited income and expenditure account, balance sheet, and receipts and payments statement. The FC-4 and other FCRA forms were revised by rule amendments in May 2025 and June 2026 (for example, to require more detailed asset, project-wise and online-presence disclosures), so check the current form requirements on the FCRA Online portal. The return is required every year the organisation holds FCRA registration, even in a year in which no foreign contribution was actually received.

In practice: The 'nil return' obligation is frequently overlooked — organisations sometimes assume that a year with no foreign receipts means no FC-4 is due. It is still due, and failing to file it is treated the same as failing to file in an active year.

Does FCRA require a separate audit from the organisation's regular statutory audit?

Yes. An FCRA-registered organisation must maintain a separate set of books of account for foreign contribution, distinct from its domestic income and expenditure, and have these audited annually by a Chartered Accountant in the format prescribed for FCRA purposes. This is in addition to — not a replacement for — the entity's regular statutory audit under the Companies Act (Section 8) or applicable Trust/Society requirements, and its income-tax audit under Section 12A(1)(b) of the Income-tax Act, 1961 (Forms 10B/10BB) where applicable. The 1961 Act governs income up to FY 2025-26; from tax year 2026-27 the Income-tax Act 2025 applies with renumbered sections and forms (the NPO audit report moves to Form 112 under Section 348), so confirm the equivalent.

In practice: We coordinate the FCRA-specific audit alongside the entity's main statutory audit as part of the annual retainer, so the organisation is not managing two disconnected audit processes with two different auditors working from inconsistent figures.

Is a personal gift from an NRI relative to an individual in India covered by FCRA?

The Act's definition of 'foreign contribution' and its exemptions are narrow and fact-specific — certain remittances such as bona fide personal gifts, in specified circumstances and within specified value limits, may fall outside the definition, but this is not a blanket exemption and depends on the facts, the relationship, and the amount. Organisations should not assume a remittance is exempt without specific advice, and this FAQ addresses organisational FCRA obligations generally rather than individual personal-remittance questions, which require case-specific review.

In practice: We treat every 'is this exempt' question as requiring a specific fact review rather than a general answer — the cost of getting this wrong (an FCRA violation) is disproportionate to the cost of a short advisory conversation before accepting the remittance.

How long does the FCRA registration process actually take from application to approval?

Document assembly and eligibility confirmation depend on how ready the organisation's records are. MHA processing — including any field inquiry — is the primary variable: Section 12 of the FCRA says the Central Government shall ordinarily decide within ninety days of receiving the application and, if it does not grant registration or prior permission within that period, communicate the reasons, but actual timelines depend on the case, particularly where field inquiries raise questions or documentation gaps require multiple rounds of clarification. Organisations should not commit to a foreign donor on a fixed funding start date until the certificate is actually granted.

In practice: Expectations should be set conservatively, because the timeline depends on MHA's internal processing pace, which is outside any CA firm's control.
