Getting STPI Registration & SOFTEX Filing Right the First Time

PNPC Global Content Team·

Key takeaways

  • STPI unit registration allows duty-free import of capital goods under bond and gives formal government recognition of software export activity.
  • An export declaration is a FEMA obligation for software exporters regardless of invoice value and regardless of whether the exporter is an STPI unit.
  • SOFTEX applies to software exports up to 30 September 2026, and the Export Declaration Form replaces it for exports from 1 October 2026.
  • Purely domestic IT service providers and trading intermediaries that only resell imported software or hardware do not need STPI registration.

STPI Registration & SOFTEX Filing — What to Get Right Before You Start

STPI registration and SOFTEX filing are the twin pillars of export compliance for every Indian software exporter. Get the registration wrong and your capital goods imports are unprotected; miss your export declarations and your bank cannot track realisation of export proceeds against each invoice, which exposes the business to FEMA compliance issues. PNPC Global assists IT and ITES exporters across Chennai, Bangalore, and Hyderabad with STPI unit registrations and export declaration filings.

What This Actually Covers

Software Technology Parks of India (STPI) is an autonomous scientific society set up under the Ministry of Electronics and Information Technology (MeitY) in 1991. An STPI unit is a business entity — engaged in software development, IT services, IT-enabled services (ITES), or related export activities — that is formally registered under the STPI scheme with the relevant STPI nodal office. Registration confers the right to import capital goods duty-free under bond, operate under a structured export compliance framework, and obtain government recognition of export performance — critical for banking relationships, large enterprise clients, and regulatory filings.

When You'd Need This

  • Your company exports software, IT services, ITES (BPO, KPO, data processing, content development, animation, or engineering design services) — an export declaration (SOFTEX for software exports made up to 30 September 2026; the Export Declaration Form, or EDF, for software and service exports from 1 October 2026) is a FEMA obligation regardless of invoice value or STPI unit registration
  • You import or plan to import capital goods (servers, network equipment, storage systems, specialised hardware) duty-free for use in your export operations — STPI unit registration is the mechanism for duty-free import under bond
  • You want formal government recognition of your software export activity — an STPI letter of permission, combined with certified SOFTEX forms (EDFs for exports from 1 October 2026) and FIRCs, constitutes a complete audit trail of export performance
  • Your bank needs the export declaration to mark each inward remittance against the specific export invoice — the certified SOFTEX (or, for exports from 1 October 2026, the EDF) is the document that enables this

Before You Assume You Need This

  • You only need your software exports declared and certified and do not plan to import capital goods under bond — the export declaration obligation still applies, but full STPI unit registration may not be warranted
  • Your company provides purely domestic IT services with no export component — STPI and SOFTEX are exclusively for export-oriented IT/ITES businesses
  • You are a trading intermediary in the IT sector, not a software developer or service provider — STPI registration is for entities that produce or deliver IT/ITES services, not for those that merely resell imported software or IT hardware in India

Questions We're Actually Asked

What exactly is a SOFTEX form — and when must it be filed?

SOFTEX is the abbreviation for 'Software Export Declaration'. It has been the mandatory export declaration form for software exported from India in non-physical form. Since 1 October 2013, when RBI withdrew the earlier USD 25,000 waiver, a SOFTEX declaration has been required for software exports irrespective of invoice value. STPI (or, for SEZ units, the SEZ authority) certifies the SOFTEX, and the certified form is lodged with the exporter's Authorised Dealer bank, which tracks realisation of the export proceeds against each declared invoice. This changes from 1 October 2026: the Foreign Exchange Management (Export and Import of Goods and Services) Regulations, 2026 replace SOFTEX with a single Export Declaration Form (EDF) for exports of goods and services, including software, and for services the EDF is generally furnished to the specified authority within 30 days from the end of the month in which the invoice is raised. SOFTEX remains relevant for exports made before that date — confirm the current procedure with your AD bank or STPI before filing.

Is SOFTEX filing mandatory even if we are not a registered STPI unit?

Yes. The export declaration obligation arises from FEMA and applies to software exporters regardless of invoice value and regardless of whether the exporter is registered as an STPI unit. For exports up to 30 September 2026, a company that is not an STPI unit files its SOFTEX through the STPI office, which certifies it for such 'non-unit exporters' without requiring full STPI registration. For exports from 1 October 2026, the EDF framework under the 2026 FEMA export regulations recognises the Authorised Dealer bank as a specified authority alongside STPI (SEZ units route declarations through the SEZ authority), so a domestic tariff area exporter may be able to file through its bank — confirm the current position with your AD bank before filing. The absence of STPI unit registration does not exempt a company from the declaration obligation under FEMA.

Is there a minimum invoice value below which SOFTEX is not required?

No. RBI withdrew the earlier USD 25,000 waiver with effect from 1 October 2013, so SOFTEX has applied to software exports irrespective of invoice value. For exports from 1 October 2026 the EDF replaces SOFTEX and applies to software and service exports generally; the 2026 regulations allow services exporters to furnish a consolidated monthly declaration and provide a simplified, declaration-based closure route in the bank's export monitoring system (EDPMS) for smaller entries. Confirm the applicable procedure against the current RBI regulations and your AD bank at the time of export.
