MEMORANDUM OF UNDERSTANDING

1. Parties

This Memorandum of Understanding ("MOU") is entered into as of __________________ between __________________, having its address at __________________ ("Party A"), and __________________, having its address at __________________ ("Party B", together with Party A, the "Parties").

2. Purpose

The Parties are entering into this MOU to record their mutual intent and preliminary understanding in relation to __________________, with a view to exploring the feasibility of a formal, binding arrangement between them.

3. Non-Binding Nature

This MOU is a statement of the Parties' present intentions only and, save for Clauses 6 (Confidentiality), 8 (Costs), and 9 (Governing Law and Dispute Resolution), does not create any legally binding rights or obligations, and does not obligate either Party to enter into any definitive agreement.

4. Scope of Discussions

The Parties shall, in good faith, discuss and evaluate the commercial, technical, legal, and operational aspects of the proposed collaboration described in Clause 2, and shall keep each other informed of material developments relevant to such evaluation.

5. Exclusivity (if applicable)

Unless otherwise agreed in writing, the Parties may engage in parallel discussions with other prospective partners on the same or a similar subject matter during the term of this MOU, save where the Parties expressly agree to an exclusivity period in a separate written addendum.

6. Confidentiality

Each Party shall keep confidential all non-public information disclosed by the other Party in connection with the discussions contemplated by this MOU and shall use such information solely to evaluate the proposed collaboration, save for information that is public, independently known, or required to be disclosed by law or regulation.

7. Due Diligence and Access

Each Party shall provide the other with reasonable access to such information and personnel as may be necessary to conduct due diligence on the proposed collaboration, subject to the confidentiality obligations under Clause 6 and any applicable data protection requirements.

8. Costs

Each Party shall bear its own costs and expenses incurred in connection with the negotiation, due diligence, and discussions contemplated under this MOU, unless otherwise agreed in writing.

9. Term and Termination

This MOU shall remain valid for a period of __________________ from the Effective Date, unless extended by mutual written consent or terminated earlier by either Party on written notice to the other, without assigning any reason and without liability, save for obligations under Clauses 6 and 8 which shall survive termination.

10. Governing Law and Dispute Resolution

This MOU shall be governed by the laws of India. Any dispute arising out of or in connection with this MOU, including its interpretation, validity, or termination, shall be resolved amicably between the Parties, failing which it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at __________________, __________________.

11. Miscellaneous

This MOU constitutes the entire understanding between the Parties in relation to its subject matter and supersedes all prior discussions. Any amendment must be made in writing and signed by both Parties. This MOU may be executed in counterparts.

  • An MOU is generally intended to be non-binding — ensure operative commercial terms you want to be enforceable are placed in a separate, clearly binding agreement.
  • If the MOU contemplates a binding exclusivity or break-fee clause, have that specific clause reviewed carefully as it may be treated as binding despite the MOU's general non-binding intent.
  • Stamp duty is usually nominal for a non-binding MOU, but verify the position under your state's Stamp Act, especially if it references property or payment obligations.
